General Terms and Conditions (GTC)

1. Scope of Application

1.1 These General Terms and Conditions (GTC) govern the contractual relationship between the Department of Finance (DF) of the University of Zurich (UZH), as the operator of the "DF Community — Careers" platform, and natural or legal persons (hereinafter "customers") who use the services of DF Community — Careers. 1.2 By using the website (currently: careers.df.uzh.ch or any other domain that may be communicated) and by using the services offered, customers declare their full and binding agreement with these GTC. 1.3 Deviating or supplementary terms and conditions of customers shall not apply unless they have been expressly and in writing accepted by DF Community — Careers.

2. Services of DF Community — Careers

2.1 DF Community — Careers operates an online platform for publishing job and event postings, with the aim of facilitating contact between companies and finance students at the University of Zurich. 2.2 DF Community — Careers merely provides the platform. No specific success or placement rate is owed, and in particular there is no guarantee of applications, contacts or hires. 2.3 Applications by students or other interested persons generally take place outside DF Community — Careers directly with the advertising companies and are subject to the respective companies' data protection practices. 2.4 DF Community — Careers may offer customers and interested persons additional information services (e.g. e-mail newsletters or notifications regarding new job and event postings). For the sending of such e-mails, DF Community — Careers may use specialised service providers (e.g. CleverReach). The scope and nature of these additional services as well as the applicable conditions (in particular consent and the possibility of unsubscribing) follow from the specific information provided at the time of subscribing to the respective service and from the privacy policy.

3. User Accounts and Registration

3.1 Companies are not required to set up a user account. When uploading a posting, companies only need to provide the information required for invoicing (billing address) as well as contact details for the posting. 3.2 Students and other interested persons can access the content of the platform without registering on DF Community — Careers. Where students are registered via the DF Community, such registration is governed by the provisions applicable there. 3.3 Customers are obliged to provide complete, current and accurate information and, in particular, to notify DF Community — Careers without delay of any changes to the billing address. 3.4 DF Community — Careers reserves the right to reject, block or delete postings at any time without giving reasons, in particular in the event of suspected misuse, false information or violations of these GTC or applicable law.

4. Publication of Postings and Profiles

4.1 The publication of postings and any profiles is carried out in accordance with the service options offered on the platform and the prices valid at the time the contract is concluded. 4.2 A binding contract between the company and DF Community — Careers is formed when a posting or event is definitively submitted by the company. 4.3 After the order has been placed, the content of uploaded documents (in particular PDFs) can generally no longer be changed. Exceptions are at the sole discretion of DF Community — Careers and do not create any entitlement for the future. 4.4 Early termination, reduction or refund of fees that are owed or have already been paid is excluded. This also applies in the event of early deletion, deactivation or inactivity of a posting.

5. Obligations of Customers

5.1 Customers are solely responsible for the content of the postings (jobs and events) they publish and any other content they provide. In particular, they warrant that: • postings relate exclusively to actual existing positions or events; • all information provided is correct, current and complete; • no unlawful, misleading, discriminatory, racist, pornographic, defamatory, privacy-infringing or otherwise impermissible content is published; • all applicable legal provisions, in particular labour law, data protection law and competition law, are complied with. 5.2 DF Community — Careers is entitled to block or delete postings or content at any time without prior notice if: • they violate legal provisions, official orders or these GTC; • they infringe the rights of third parties; or • they could damage the reputation of DF Community — Careers, the Department of Finance or UZH. Customers have no entitlement to the publication of a posting.

6. Prices and Terms of Payment

6.1 Prices are based on the price list valid at the time the contract is concluded and published on the platform (careers.df.uzh.ch) or as per an individual offer. 6.2 Invoicing generally takes place on a monthly basis. Invoices must be paid in full within 30 days from the invoice date, unless otherwise stated on the invoice. 6.3 In the event of late payment, DF Community — Careers is entitled to: • charge reasonable dunning fees; • claim default interest in accordance with Art. 104 of the Swiss Code of Obligations (OR); and • suspend or restrict further services (in particular the publication of new postings) until full payment has been received.

7. Liability

7.1 DF Community — Careers provides its services with reasonable care customary in the industry. To the extent permitted by law, any liability for indirect or consequential damages, loss of profit or data loss is excluded. 7.2 In particular, DF Community — Careers is not liable for: • technical malfunctions, interruptions, maintenance work or system-related outages; • the content of postings or other information provided by customers; • the behaviour of users, customers or third parties; • the success or lack of success of postings (e.g. number of views, applications, hires); • the content and data protection practices of third-party offerings accessible via links (in particular application portals of companies). 7.3 Mandatory statutory liability provisions remain reserved.

8. Data Protection

8.1 DF Community — Careers processes personal data in accordance with the applicable data protection regulations, in particular the Swiss Federal Act on Data Protection (DSG), the relevant provisions of the Canton of Zurich (in particular IDG ZH) and the data protection guidelines of the University of Zurich. 8.2 Personal data is processed in particular for the following purposes: • administration and publication of postings and events; • handling invoicing and contractual relationships with companies; • ensuring the secure and stable operation of the platform (e.g. via server log files); • statistical evaluations and optimisation of the platform (e.g. using Matomo tracking). 8.3 Personal data is generally stored on servers in Switzerland and/or the EU. DF Community — Careers takes appropriate technical and organisational security measures to protect data from unauthorised access, loss or misuse. 8.4 Personal data is disclosed to third parties only if: • there is a legal basis or an official/court order; or • this is necessary for the enforcement of legal claims (e.g. in the event of attacks on the IT infrastructure); or • the third party is a contracted service provider performing services for DF Community — Careers as a data processor (e.g. sending e-mail newsletters via CleverReach) and is contractually obliged to comply with the applicable data protection regulations. 8.5 Further information on the processing of personal data, in particular regarding log files, cookies, tracking, the rights of data subjects and contact details, is provided in the Privacy Policy for DF Community — Careers. This Privacy Policy forms an integral part of these GTC.

9. Amendments to the GTC

9.1 DF Community — Careers reserves the right to amend or supplement these GTC at any time. 9.2 Amendments will be published in an appropriate form on the platform and — insofar as reasonably possible — communicated to the affected customers (e.g. by e-mail). If customers do not object in writing within 14 days of notification or continue to use the services, the amended GTC are deemed accepted.

10. Final Provisions

10.1 Should individual provisions of these GTC be or become invalid in whole or in part, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that best reflects the economic purpose of the original provision. 10.2 These GTC are governed exclusively by Swiss law, to the exclusion of conflict-of-law rules. 10.3 The exclusive place of performance and jurisdiction is Zurich, to the extent permitted by law. DF Community — Careers is, however, entitled to bring actions against customers at their place of domicile or registered office.
